These terms are a contract which set out your rights and obligations and those of CV Highway Limited (company number 5282679) of York House, 76-78 Lancaster Road, Morecambe, Lancashire LA4 5QN ("We" or "Us") in relation to this Site (as defined below) and the site services (as defined below) offered by us through it.

You are required to accept these Terms in order for your registration with the site to become active. If you do not accept these Terms, you will not be able to enter your details onto our database.

By using this Site and the Site Services you are indicating your acceptance of the following Terms and Conditions.
Visitors to the site who do not register will also be bound by some of these Terms and Conditions each time they access and use the Site.

We reserve the right to change these Terms at any time by posting changes online. You are advised to check this page regularly to review the Terms. Your continued use of the Site and/or the Site Services after these changes are posted constitutes your acceptance of these Terms as modified by the posted changes.

In These Terms
1.1 "Confidential Information" means information relating to the business, products, affairs and finances of us and our associates, for the time being confidential to it or them or treated by it or them as such, and trade secrets (including without limitation, technical data and know-how) relating to our business, the business of any associate or of any of its or their suppliers or customers;
1.2 "Intellectual Property" means patents, trade marks, service marks, design rights (whether registerable or otherwise), applications for any of the foregoing, copyright, know-how, database rights, trade or business names and other similar rights or obligations whether registerable or not in any country (including without limitation the United Kingdom);
1.3 "Logos" means our logos, trade marks, trade names or other signs (including without limitation any trade mark applications or registrations) in relation to the Site Services from time to time and any other images, logos, brands on and the design of the webpage and to which you have access on the site;
1.4 "Organisation" means any firm, company, charity or public institution associated to Us;
1.5 "Site" means the website set up by us to operate our Site Services from time to time;
1.6 "Submit" means submit, upload, post, email, transmit or otherwise make available to the Site;
1.7 "Visitor" means any visitor to the Site;

1.10 Headings contained in these Terms are for reference purposes only and shall not be incorporated into these Terms and shall not be deemed to be any indication of the meaning of the clauses and sub-clauses to which they relate;
1.11 All agreements on the part of either of the parties, which comprise more than one person or entity, shall be joint and several and the neuter singular gender throughout these Terms shall include all genders and the plural and the successors in title to the parties;
1.12 Reference to any Act, statutory instrument or other instrument shall include references to such instrument as amended, re-enacted or consolidated from time to time and also to any subordinate instrument made under it;
1.13 Any phrase introduced by the terms "including", "include", "in particular" or any similar expression or followed by the terms "or otherwise", or any other, "or any similar", "or any analogous" or any similar expression shall be construed as illustrative and shall not limit the sense of the words following or preceding such terms.

Your Use of the Site
2.1 The Site and Site Services may be used only for lawful purposes by individuals seeking work opportunities and career information or services as offered on the Site. You shall not use any part of the functionality or content of the Site to:
2.1.1 send, receive, upload, download, store, use, distribute or publish any material which is offensive, obscene, abusive, harassing, inaccurate, defamatory, or which infringes the statutory or common law rights of any third party;
2.1.2
send or distribute multiple unsolicited emails (i.e. "spam") to any person or entity connected with the Site and/or Site Services;
2.1.3 use the Site or Site Services for any purpose save legitimate business use; and
2.1.4 restrict, limit or disturb any other visitors access to or normal operation of the Site or Site Services.

Intellectual Property
3.1 All intellectual property in the Site and in the logos shall vest in us or our licensors.
3.2 You are only permitted to view, copy, print, access, download and store extracts of the material or logos contained on the Site for your own personal use. You may not use any of this material for commercial or public purposes.
3.3 You may not (whether directly or indirectly, including through the use of any program) create a database in an electronic form by downloading or storing all or any part of the pages from the Site without our express written permission. Further, no part of this Site may be reproduced, transmitted to or stored on any other Site, disseminated in any electronic or non-electronic form, or included in any public or private electronic retrieval system without our express written permission.

Virus Protection
4.1 You will use all reasonable endeavours to ensure that you do not (and any file you submit do not) introduce any viruses to the Site, corrupt any data on the Site or related Sites and databases or in any way have any adverse effect on the Site, related Sites and databases, their content and/or the equipment on which they are contained and operated.
4.2 Provided we use all reasonable endeavours to ensure that the material on the Site is free from viruses, We will not accept any responsibility for any loss, disruption or damage to your data or your computer system which may occur whilst using material derived from the Site or from any Sites accessible via the Site.

Free Candidate Registration
5.1 A Visitor who registers for the Site Services in accordance with these Terms will become a "Candidate". A Visitor can become a Candidate free of charge.
5.2 You will submit only true and accurate information to the Site at all times.
5.3 If there are any changes to any information provided by you, it is your responsibility to inform us as soon as possible.
5.4 As part of the registration process, you will be asked to choose a user name and password and complete a candidate profile. You are responsible for maintaining the confidentiality of this user name and password and are fully responsible for all activities which occur under this name and password. You will notify us immediately of any unauthorised use of your user name and password. We will not be liable for any loss or damage arising from your failure to comply with this section.
5.5 We reserve the right to reject, edit or remove (or require you to edit or remove) at any time any information that you submit to the Site we consider is in breach of any provision of these Terms and in particular (without limiting the generality of this Clause) We consider is defamatory or obscene.

Liabilities
6.1 Your use of the Site and the Site Services is entirely at your own risk. We do our best to effectively distribute candidates CVs to relevant jobsites and Recruitment Agencies. CVHighway.com does not make any representations whatsoever about any job vacancy and accordingly it is a matter for you to satisfy yourself as to the suitability of any job found either directly of indirectly through this Site.
6.2 We do not limit our liability for death or personal injury as a result of our negligence or that you suffer as a consequence of fraud by us.
6.3 We shall not be liable to you in contract, tort (including negligence) or otherwise for:
6.3.1 any damage or loss arising from the consequence of viruses received by you via the Site (provided we use all reasonable endeavours to ensure that the material on the Site is free from viruses) or of our failure to provide the Site in accordance with the Terms;
6.3.2 any economic loss (including loss of business, contracts, profits, revenues, capital or anticipated savings), any indirect, special or consequential loss, loss of data, goodwill or reputation or for any wasted expense including, but not limited to, losses caused by viruses.
6.4 Subject to Clause 6.2, any liability we may have to you whether in contract, tort (including negligence) or otherwise for any loss or damages suffered by you in relation to the Site are limited to a refund of any monies paid to us
6.5 We may suspend or terminate the Site at any time without giving notice to you. We shall have no liability to you for any interruption, delay or failure in access to the Site, irrespective of the cause.
6.6 We are not an agent for and do not represent those persons, companies and other organisations whose goods or services may be displayed on the Site. Any dealing or interest which you have in respect of any third parties found via the Site are solely between you and the person with whom you are dealing. We have no involvement in the sale of any products or services found via the Site. To the fullest extent permitted by law, we shall not be responsible or liable for any loss or damage of any kind incurred as the result of any such dealings or as a result of reference and links to such third parties on the Site.
6.7 Except as expressly stated in these Terms, the Site is provided on an "as is" basis, and all warranties and conditions, whether express or implied by statute, common law or otherwise (including, but not limited to, fitness for purpose) are hereby excluded to the extent permitted by law.

Indemnities
7.1 You shall indemnify and hold us harmless against all and any losses, costs, damages, liabilities, claims, demands and expenses (including legal fees) suffered or incurred by us arising out of or connected with:
7.1.1 Your use of the Site;
7.1.2 Your breach of these Terms;

Termination
8.1 The Terms shall terminate immediately without notice if:
8.1.1 The Candidate or we commit a material breach of the Terms.
8.2 If you fail to comply with these Terms, we reserve the right to suspend or terminate your registration or your access to the Site Services or parts of it at any time upon written notice direct to the email address with which you have provided us.
8.3 You may suspend or terminate Your registration at any time by submitting a suspension / termination request to info@CVHighway.co.uk or visit www.CVHighway.com. You will receive a message from us confirming your suspension/termination.
8.4 We can close or modify the Site or the Site Services for any reason, at any time, without notice to you. In this case your registration will come to an end.
8.5 The termination of your registration shall not prejudice or affect any right of action or remedy which shall have accrued or thereafter accrue to either party.

Price and Payment
9.1 Fees which are only chargeable to jobsites and Recruitment Agencies are calculated exclusive of VAT and will bear VAT at the applicable rate.
9.2 We reserve the right to charge interest on any overdue sum payable at the higher rate of 4% above the base rate from time to time of Barclays Bank PLC or the rate of interest from time to time prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.

Other Things You Need to Know
10.1 These Terms do not affect any consumer rights that you may have under the provisions of any applicable law or regulation.
10.2 These Terms shall not create any rights that shall be enforceable by anyone other than you and us.
10.3 Our privacy statement also forms part of these Terms and by agreeing to these Terms, you also give your consent to our using your personal data as set out in that statement.

Jurisdiction
11.1 The Terms shall be governed by English law in every particular including formation and interpretation and shall be deemed to have been made in England
11.2 Any proceedings arising out of or in connection with the Terms may be brought in any court of competent jurisdiction in England and Wales
11.3 The submission by the parties to such jurisdiction shall not limit our right to commence any proceedings arising out of the Terms in any other jurisdiction it may consider appropriate
11.4 Any notice of proceedings or other notices in connection with or which would give effect to any such proceedings may without prejudice to any other method of service be served on any party.
11.5 In the event that either party is resident outside England its address for service in England shall be the address set out in the Database and any time limits in any proceedings shall not be extended by virtue only of the foreign residence of that party.

Entire Agreement
12.1 These Terms sets out the entire Terms between the parties in connection with its subject matter and neither party has entered into these Terms in reliance on any warranty, representation of statement made by the other which is not set out in these Terms.
